Styrelsens i Flexenclosure AB (publ) redogörelse enligt 13 kap. 6 och 14 kap. 8 aktiebolagslagen över förslaget till beslut om ökning av aktiekapitalet genom emission av aktier och emission av teckningsoptioner The Board of Directors of Flexenclosure AB (publ) report pursuant to chapter 13 section 6 and chapter 14 section 8 of the Swedish Companies Act regarding the proposal for resolution to increase the share capital by way of a share issue and an issue of warrants Styrelsen för Flexenclosure AB (publ), org. nr 556708-2028 får härmed avge följande redogörelse enligt 13 kap. 6 och 14 kap. 8 aktiebolagslagen, allt med anledning av förestående emission. Pursuant to chapter 13 sections 6 and chapter 14 sections 8 of the Swedish Companies Act and as a result of the forthcoming issuance, the Board of Directors of Flexenclosure AB (publ), reg. no. 556708-2028, gives the following report. Efter att årsredovisningen lämnades för räkenskapsåret 1 januari 2013-31 december 2013, gjorde Bolaget ett genombrott genom att vinna en stor order på 614 esites till Myanmar. Bolagets hade en fortsatt tillväxt av nya order inom Bolagets båda affärsområden, dvs. av ecentres och esites, t o m Q3 2014 jämfört med Q3 2013 (en ökning med 34 %). Med anledning av den ökade tillväxten inom Bolagets båda affärsområden under 2014, i kombination med de långa betalningsperioderna, har bolagets upplåning och behov av rörelsekapital ökat kraftigt. Särskilt ordern från Apollo i Myanmar som togs under 2014 på ett belopp nära 160 miljoner kronor, men med en lång betalningsperiod, har påverkat Bolagets likviditet negativt på ett väsentligt sätt. Under oktober och november var Bolaget i processen att säkra en förskottsbetalning från en bank i Singapore, med stöd av en EKN-garanti, men på grund av olika skäl utom kontroll för Bolaget, avböjde banken att tillhandahålla denna finansiering. Detta hade betydande effekt på Bolagets likviditetssituation och som en följd av detta begärde Bolaget den återstående delen av Contingent Subscription som godkändes på en extra bolagsstämma den 18 november 2014. Därutöver har, som konstaterats ovan, Bolagets tillväxt och expansion inneburit en kraftig försämring av Bolagets likviditet och därmed även dess möjlighet att fortsätta bedriva verksamheten. För att öka Bolagets egna kapital och dess tillgång till likviditet för att kunna betala upparbetade leverantörsskulder och därmed säkra Bolagets fortsatta tillväxt, har Bolaget sammankallat en extra bolagsstämma den 29 december 2014. Bolagsstämman ska besluta om emission av aktier och teckningsoptioner innebärande en total emissionslikvid om upp till 140 000 000 kronor. Den tilltänkta emissionen är uppdelad i två trancher där Tranche 1 uppgår till 92 000 000 kronor och Tranche 2, som är villkorad av om finansiering säkras för ordern från Apollo i Myanmar, uppgår till 48 000 000 kronor. Utöver emissionen pågår även ett arbete för att säkra utökad rörelsekapitalkredit, projektfinansiering, EKN garantier, förbättrad kostnadskontroll och riskhantering etc., allt som en del i en helhetslösning för att skapa finansiell stabilitet i Bolaget. Inga andra väsentliga händelser för Bolagets ställning har inträffat utöver det som redogjorts i pressreleaser publicerade på Bolagets hemsida: www.flexenclosure.com. Oaktat den förestående emissionen och det arbete som pågår för att säkra Bolagets finansiella ställning medför en investering i Bolaget en relativt hög risk. Following the submission of the annual accounts for the financial year January 2013 31 December 2013, the Company made a breakthrough by winning a major order of 614 esites to Myanmar. The Company had a continued growth of new orders in both business areas esite and 1 (3)
ecenter up until Q3 2014 compared to Q3 2013, (an increase by 34%). Because of the increasing growth and high number of orders won in 2014 in both business areas, combined with the long payment period from customers, the Company's borrowing increased and capital needs have increased substantially. In particular, the orders from Apollo in Myanmar taken during 2014 in an amount close to MSEK 160, but with a long payment term, have affected the Company s liquidity position in a materially negative way. The Company was during October and November in the process of securing an advance payment from a bank in Singapore, secured by an EKN guarantee, but for various reasons out of the control of the Company, the bank declined to provide this financing. This had material effect on the Company s liquidity situation and as a consequence the Company requested for the remaining part of the Contingent Subscription, which was approved at an extraordinary general meeting held on November 18, 2014. In addition, and as explained above, the Company s continuous growth and expansion have had a detrimental effect on the Company s liquidity situation, and thereby its possibilities to continue the operations. In order to secure the Company s continuously growth, and increase the Company s equity and access to liquid funds to secure payment of due supplier debt, the Company have summoned an extraordinary general meeting to be held on 29 December 2014. The extraordinary general meeting shall resolve to issue shares and warrants raising up to SEK 140,000,000 in new equity for the Company. The financing is split in two tranches, whereby the first tranche amounts to MSEK 92 and the second, which is contingent on whether any financing is received for the Apollo project, amounts to MSEK 48. In addition to the share issue, there is an ongoing work in the Company to secure additional working capital financing, project financing, EKN guarantees, an improved control over costs and risk assessment etc, all as part of an overall solution for the Company to reach long terms financial stability. Regardless of the pending financing and other work ongoing to secure the Company s financial position, the risk level for an investment in the Company must be consider relatively high.
