Under förra våren och sommaren har jag, i samband med demonstrationer av Nödvattenmateriel, också visat en liten vattenrenare som bl.a. används av MSB, Försvaret, danska Beredskabsstyrelsen med flera. I oktober var jag över till Washington och visade den för US Army som faktiskt också är intresserade. Den testas fältmässigt i april 2012 vid Fort Benning GA. då får den visa vad den kan. Terms of sale and delivery of PUREH2O In the absence of any other written agreement, PureH2O delivers all supplies on the following terms and conditions, irrespective of any opposite or divergent provisions in the order placed or the acceptance made by the Buyer. 1. Offer and acceptance: PureH2O can cancel an order accepted earlier, where the Buyer has an unsettled outstanding account with PureH2O. All offers are made subject to the goods being unsold. Until the Buyer s acceptance has reached PureH2O, PureH2O shall be entitled to enter into an agreement with a third party concerning what is offered with the effect that the offer made to the Buyer lapses. PureH2O shall after PureH2O has received the acceptance inform the Buyer in writing without undue delay that the offer has lapsed. 2. Delivery: Delivery is ex works. This shall apply irrespective of whether according to agreement PureH2O pays the expenses for transport of the goods. The Buyer must himself ensure that an insurance against any damage to or loss of the goods after delivery is taken out. 3. Price: Current list price in the agreed currency according to offer, acceptance of order or invoice. The Buyer shall be obliged until delivery to accept changes in the price as a result of documented increased costs for PureH2O as a result of changes in exchange rates, tariffs, taxes and duties, etc. with regard to the agreed supply. All prices are exclusive of VAT. For small supplies PureH2O makes a service charge. 4. Payment: Payment is effected according to agreement as stated on the first page of offers, acceptances of orders or invoices. After the due date, interest is charged at 2% per invoice month and a service charge of DKK 75.00 is made for each reminder. Where a due date is not stated, payment shall be made cash on delivery. The Buyer shall not be entitled to set off any counterclaim against PureH2O, which has not been accepted in writing by PureH2O, and the Buyer shall not be entitled to withhold any part of the purchase price owing to counterclaims of any kind. 5. Retention of title: The title to the subject of sale shall remain with PureH2O until the entire purchase price together with interest, costs, etc. has been fully paid. 6. Times of delivery: The time of delivery shall to the widest extent possible be fixed according to the wish of the Buyer. The time of delivery is fixed subject to strikes, lockouts, fire or other force majeure events not preventing delivery at the agreed time and subject to delivery not being prevented by delay of necessary supplies or unforeseen delays in manufacture or during transport. In the event of a delay, the Buyer shall not be entitled to enforce remedies for breach. 7. Complaints: The Buyer shall at the latest on receipt make a thorough inspection as to whether the goods are according to contract. Complaints, if any, regarding goods delivered shall be made in writing not later than 8 days after receipt of the goods with a description of how the defect manifests itself. 8. Defects: Where the goods or parts thereof are defective owing to defective materials or faulty manufacture PureH2O grants compensation at a maximum corresponding to the invoiced price of the goods or delivers goods to replace the defective goods free of charge or repairs the goods or parts thereof for a 12 month period as from the date of delivery according to PureH2O choice and PureH2O cannot be held liable for any direct or indirect damage or loss, including operating losses, losses of profit, loss of time and the like. Where the Buyer has not within 12 months from the date of delivery invoked the defect in writing in relation to PureH2O, the Buyer cannot later claim such a defect. For the parts that have been replaced or repaired, PureH2O undertakes the same obligations as apply to the goods sold originally for a period of 6 months always provided that PureH2O s liability for defects cannot for any part of the goods be extended to more than 1 year from the original date of delivery. A change to or interference with the goods without PureH2O s written consent exempts PureH2O from any obligation. PureH2O sales material states the purposes for which the individual product can be used. If the product is used for any other purposes or is exposed to influences that are not stated in the sales material, PureH2O shall be free from any liability whatsoever. PureH2O' liability does not cover defects that are due to causes that have arisen after the risk has passed to the Buyer. For example, PureH2O liability does not include defects that are due to faulty maintenance, incorrect installation undertaken by the Buyer, changes undertaken without PureH2O s written consent or repairs that the Buyer has undertaken in a wrong manner. Finally, PureH2O liability does not include normal wear and tear. Nor shall PureH2O be liable for defects that are not due to defective materials or faulty manufacture. The defect shall always be invoked in writing. 9. Cancellation of orders: Where the Buyer wishes to cancel an order, PureH2O shall be informed of this in writing. A cancellation has not been accepted until PureH2O written acceptance is available. In the case of goods that PureH2O does not normally stock, an order cannot be cancelled unless the cancellation is accepted by the supplier of PureH2O. Where PureH2O written acceptance is not available, PureH2O shall in writing request the Buyer to receive the material within a reasonable period of time. Where the Buyer does not receive the material for reasons for which PureH2O is not liable, PureH2O shall through written notification to the Buyer be entitled to cancel the agreement for the goods ready for delivery that will not be delivered owing to the Buyer s omission. In that case, PureH2O shall be entitled to compensation for the damage suffered by PureH2O on account of the Buyer s breach. 10. Return: Stock goods delivered are returnable only according to prior agreement and a copy of the invoice must be enclosed. Return goods are credited at 80% of the invoiced value. Acceptance of goods that are returned without prior agreement is refused. Specially prepared materials and specially procured goods are non-returnable. The return of goods shall be for the Buyer s own account and risk. 11. Product liability: PureH2O is liable only for personal injury where it can be proved that the injury is due to errors or omissions committed by PureH2O or others for whom PureH2O is responsible. Compensation for personal injury can in no instance exceed the level of compensation applicable according to Danish law at any given time. PureH2O shall not be liable for damage to real or personal property that occurs while the subject of sale is in the possession of the Buyer. Nor shall PureH2O be liable for damage to products manufactured by the Buyer or products that form part of such products. The overall liability of PureH2O can never exceed DKK 1,000,000,- including interest and costs per event of damage or injury. PureH2O shall not be liable for any indirect damage or loss, such as operating losses, losses of profits or any other indirect loss. The Buyer shall indemnify PureH2O in so far as liability is imposed on PureH2O in relation to a third party always provided that the relationship between the Buyer and PureH2O shall be settled in pursuance of clause 13. In the event of a third party advancing a claim against either party for liability in pursuance of this clause, the party in question shall forthwith inform the other party thereof. PureH2O and the Buyer shall be mutually obliged to allow legal proceedings against them at the court which hears claims for damages advanced against one of them on the basis of a loss or damage that is claimed to have been caused by the subject of sale. 12. Force Majeure: The following circumstances shall lead to PureH2O being exempted from liability where such circumstances prevent the performance of the agreement or make the performance of the agreement unreasonably burdensome. Labour disputes and any other circumstances which are beyond the control of the parties such as fire, war, mobilisation or the calling up for military service of a similar extent, requisitioning, seizure, exchange controls, rebellion and unrest, lack of means of transport, general scarcity of goods, restrictions on motive power as well as defects in or delays of supplies from sub-suppliers which are due to any of the circumstances mentioned in this clause. Circumstances as mentioned above that have occurred prior to the placing of the order/the conclusion of the agreement lead to exemption from liability only in instances where their influence on the performance of the agreement could not be envisaged at that time. It is the responsibility of PureH2O to notify the Buyer without undue delay where circumstances as mentioned above occurs. 13. Jurisdiction: In the event of a dispute between the parties, the Maritime and Commercial Court in Copenhagen shall settle the dispute according to Danish law.
