1 P&I 2592/ December 2014 Protection & Indemnity Insurance 2015/2016 Section 1: Statement from the Management Overall claims frequency for the Club during the last 3 years is fifty percent higher than average for the period , and is increasing Underlying estimated claims inflation is 3-4% per annum International Group excess reinsurance negotiations are on-going and a small reduction or an as expiry renewal is expected Growth rate in line with expectation now standing at 40.7 million GT with an additional 21.2 million GT of charterers entries A general increase of 2.5% has been decided by the board in addition to changes in Group reinsurance cost An increase of deductible for crew liabilities in the amount of USD 1,000 Claims frequency and severity The overall rise in claims frequency has continued during 2013 and As before, the increase is mainly driven by cargo and crew claims. As for claims in excess of USD 500,000 the frequency remains stable and at a low level. We estimate that the annual rate of claims inflation continues to run at 3-4%. Underwriting results P&I The Club was, as expected, unable to meet the 100% combined ratio target for P&I in 2013/2014 as a result of an adverse claims experience. It is envisaged that the target will be met this year according to our forecast. The Club does, however, not model nor budget for a balanced result for the policy year 2015/2016. Other business areas and products should continue to provide support, closing the gap overall. Pool claims For the International Group of P&I Clubs there has been deterioration in the cost and number of pool claims for previous years. The Club has so far not reported any pool claims for policy year 2014/15. The distribution of pool claims in terms of number of claims for the Club over the last ten years has been below the modelled expectations. The severity during the same period has been in excess of the modelled expectations. The estimated cost of pool claims is based on modelled expectations and distributed on a neutral basis. 2 P&I 2592/2014 Our portfolio Our portfolio has continued to grow in line with expectation and with a somewhat higher pace during We continue to exceed the industry average growth rate the last five years and have thus been gaining market share over the period. GT has increased by 100% and premiums by 125% since Rationale: General Increase policy year 2015/2016 The Club s Board of Directors has decided on a 2.5% general increase to support the target of a balanced technical account for policy year 2015/16. This decision particularly addresses the underlying claims inflation level and the Club s need to continue to keep the premium commensurate with exposure. It also reflects the tough trading conditions for shipowners where increases are unwelcome news and should be seen as a way of balancing interests.. Section 2: Descriptive part Decisions and Instructions At the meeting in London on 4 December 2014, the Board of Directors decided the following regarding premium and deductibles for the policy year 20 February 2015 to 20 February 2016: to levy a general increase of 2.5% instructed the management to contact each Member individually to discuss renewals for 2015/16 after levying the general increase, the new call will be adjusted by any changes in the International Group s reinsurance cost. The call will also reflect the true exposure of our retention, as well as estimated contributions to pool claims, together with an assessment of the Member s records and risk exposure to increase the Crew deductibles of the Association by USD 1,000 for the 2015/16 policy year Owner s Protection & Indemnity Premiums All premiums are debited as advance and supplementary calls. It is anticipated that this policy year will be closed in The Board decided that the premium will be debited in four instalments: at inception on 20 February, 20 May, 20 August and 20 November. The premium will be based on Gross Tons (GT) as per the International Convention on Tonnage Measurements of Ships Supplementary Call Any supplementary call for this year will initially be decided upon in The current estimated supplementary call for 2015/16 is 0%. Release Call The release call for 2015/16 is presently set at 20%. Members should be aware that, even if a release call has been paid, the Association retains the right to make overspill calls as per the P&I Rules (Rule 24). Renewals The premium for 2015/16 will be based on the Member s record for the five-year period , including the current year, if adverse. Records and claims summaries are available P&I Circular 2014

Application of General Increase and adjustments for records The 2.5% General Increase and adjustments for records relevant to policy year 2015/16 will be applied to the net premium applicable for policy year 2014/15 (gross premium less commission if applicable). Once the XS reinsurance cost for policy year 2015/16 is known, the old XS reinsurance cost will be taken out of the new net premium and replaced with the new cost of the XS reinsurance applicable for policy year 2015/16. Thereafter (if applicable) the commission will be calculated/added and the new gross premium will be arrived at. Payment of Premium Premiums are to be paid in accordance with the enclosed Procedures for Payment of Premium. Limit of Liability The overall liability of the Association for 2015/16 is, unless otherwise stated in the Policy or in the P&I Rules, limited to a maximum collection of a 2.5% contribution for each entered vessel, based on the International Convention on Limitation of Liability for Maritime Claims 1976, property claims Article 6 paragraph 1(b), in excess of reinsurance jointly placed by the International Group. (See also current P&I Rules, Appendix ) The limit of liability for Oil Pollution is USD 1 billion. In respect of P&I Excess War Risk Cover, the limit is USD 500 million and in respect of war liabilities arising from Bio-Chem etc, the limit is USD 30 million. For passenger and seaman risks, the limit is USD 3 billion with a sub-limit of USD 2 billion for passenger claims only. Lay-up Returns Members are allowed up to 50% premium returns for vessels laid up in a safe port for more than thirty (30) consecutive days, if the vessel has only watchmen and no cargo onboard. No premium return is granted for vessels less than 500 GT, or for tugs, barges or passenger ships/ferries in coastal trade. A claim for lay-up returns should be made to the Association as soon as possible, however, and at the latest 12 months after expiry of the policy year. Sufficient information has to be supplied in order for the Association to calculate the return. A lay-up return application form is enclosed. Old years The release call percentages reflect an assessment of the risk that it could become necessary for the Club to levy an unbudgeted supplementary call. The assessment is made by examining the factors set out in the International Group Agreement, notably premium risk, catastrophe risk, reserve risk, counterparty risk, market risk and operational risk. 4 P&I 2592/2014 Charterers Limited Liability Cover For 2015/16 the Association also offers limited cover for Charterers including Charterers Liability to Hull. The overall maximum is limited, but may be arranged up to USD 750 million for any claim or occurrence. For further details, please contact each Team respectively. 5 P&I 2592/2014 Enclosure 1 Explanation of re-insurance and premium structure The Swedish Club provides P&I cover for its members for each and every accident and/or occurrence up to approximately USD 6.5 billion. The high limit is needed to adequately protect members/shipowners financially and to make sure that they are covered for accidents that may occur under worst-case scenarios, when taking into account current international legislative schemes. To be able to provide for these limits, the IG Clubs, where The Swedish Club is a member, re-insure each other as well as buy reinsurance together to ensure that insurance costs are kept to a minimum. It is our aim to try to explain how we reinsure P&I liabilities on behalf of our members and the different costs involved, as well as showing how premiums are charged. Structure and Cost of P&I Re-insurance for policy year 2014/15 (subject to changes as per ) Retention 0 to USD 9,000,000 The Retention of each Club is USD 9,000,000. This limit has gone up quite significantly over the last few years. It is up to the individual Clubs to buy reinsurance to cover claims within the retention. The Swedish Club s Board of shipowners has decided to cap P&I claims at USD 3,000,000 for each individual member as it has felt that it would be unfair and exorbitant to charge the full amount to a member s record. Therefore the biggest claim an owner can have in his or her claims record is the aforesaid amount.
6 Premium for the retention is divided up in three parts: 1. A premium based on the exposure for the fleet based on vessel type/age, cargoes carried and trade the member is involved in. 2. A premium based on the individual member s claims record for claims below USD 3,000, A mutual reinsurance premium (abatement) to cover claims between USD 3,000,000 to USD 9,000,000 is charged to each member. The rational for charging an reinsurance premium is that member s records have been protected by the Club. Pool USD 9,000,000 to USD 80,000,000 All members of the International Group share and pay each other s claims in excess of USD 9,000,000 and up to USD 80,000,000. Lower Pool USD 9,000,000 to USD 45, Each Club pays claims according to GT, premium volume as well as individual Club claims results within the layer. The layer has a payback mechanism where a Club will pay back any deviation from a balanced/neutral position over time. Upper Pool USD 45,000,000 to USD 60,000,000. Each Club pays claims based on GT only. The claiming Club will pay 10% of the claim in the layer for its own account and the remainder will be shared based on GT. Upper Pool USD 60,000,000 to USD 80,000,000. Each Club pays claims based on GT only. The claiming Club will pay 5% of the claim in the layer for its own account and the remainder will be shared based on GT. Mutual pool reinsurance premium is based on modelled expectations and distributed on a balanced/neutral basis. Each Club assesses pool claim contributions based on figures provided by the IG at the beginning of the year and the anticipated claims cost is part of the annual premium. Reinsurance layers USD 80,000,000 to USD 3,080,000,000 (often called Excess of Loss Programme) The Swedish Club participates in the International Group of P&I Clubs general reinsurance arrangement in excess of USD 80,000,000, and in the Group Captive tier Hydra of USD 50,000,000 in excess of USD 30,000,000. This reinsurance is placed with large reinsurance companies and on the Lloyd s and London markets. The cover is placed through the reinsurance sub-committee of the IG Group where all participating Clubs are represented. Mutual Excess of Loss Reinsurance Premium 2014/2015 Tankers carrying persistent oil as cargo: USD per GT Tankers carrying non-persistent oil as cargo: USD per GT Passenger vessels: USD per GT Other dry cargo vessels: USD per GT The owners P&I cover reinsured through the Pool is subject to the following special limits: Oil Pollution: USD 1,000,000,000 Passenger and seamen combined: USD 3,000,000,000 Passenger (sub-limit): USD 2,000,000,000 Reinsurance - in excess of USD 3,080,000,000 Overspill If a claim was to exceed USD 3,080,000,000 i.e. the limit of the Group pool s excess of loss contract, the excess or overspill would be pooled amongst the Group Clubs. The overall
7 Group pool limit for such an overspill claim remains unchanged at 2.5% of the property limitation funds under the 1976 Limitation Convention of all ships entered in all International Group Pool Clubs. Members remain ultimately liable to pay an overspill call up to a maximum of this limit for each entered ship in accordance with Rule 24. Overspill Premium No mutual reinsurance premium is charged upfront for overspill claims. Mutual Premium Structure P&I premiums are set to cover a combination of exposure and actual costs for claims on an individual member basis, mutual and Club-specific cost of large claims, reinsurance costs and finally brokerage. On top of this, P&I Clubs have operational costs for running the Club. On the other hand financial income/investment income is not credited to owners accounts. The basic Premium Structure for The Swedish Club: Individual Member premium premium for layer USD 0 - USD 3,000,000 a. Premium is set based on the exposure for the fleet depending on vessel type/age, cargoes carried and trade the member is involved in b. Premium is based on the individual member s claims record for claims below USD 3,000,000 Mutual premium premium for layer USD 3,000,000 USD 9,000,000 A mutual reinsurance premium (abatement) to cover claims between USD 3,000,000 to USD 9,000,000 is charged to each member. The rational for charging a reinsurance premium is that members records have been protected by the Club. The abatement reinsurance premium is distributed based on modelled expectations. If actual claims in this (abatement) layer are lower or higher than anticipated free reserves will be credited/debited. Pool premium premium for layer USD 9,000,000 USD 80,000,000 Mutual pool reinsurance premium is based on modelled expectations and distributed on a balanced/neutral basis. Excess of loss reinsurance premium premium for layer USD 80,000,000 USD 3,080,000,000 Reinsurance premium which is passed on directly from reinsurers to members depending on the type of vessel and for tankers the type of cargo carried.

9 English P&I Rule 3 Section 5 Passenger liabilities Liabilities to pay damages or compensation for personal injury, illness or death of any passenger on board the entered ship. Liability costs or expenses for loss, shortage, damage or other responsibility relating to luggage or personal belongings of any passenger on board the entered ship. Liability to pay damages or compensation to passengers on board an entered ship where such liability arises in consequence of a casualty, including the costs of forwarding such passengers and their luggage to their port of destination or returning them to their port of embarkation and of their maintenance ashore. For the purpose of this rule the word casualty shall be defined as follows. An incident involving either (a) collision, stranding, explosion, fire or any other cause affecting the physical condition of the vessel so as to render it incapable of safe navigation to its intended destination; or (b) a threat to the life, health or safety of passengers. The cover provided by the Association shall also include liability for injury, illness or death during carriage to or from the entered ship in its own boats, or, whilst in port, also by means of other boats. Notwithstanding the terms of the preceding paragraph of this section the Association shall not be liable for any liability in respect of personal injury, illness, death, loss of or damage to property, delay or any consequential loss sustained by any passenger by reason of carriage by air or while they are in the care of any other carrier before or after the carriage on the entered ship. Furthermore, t The Association shall not be liable in respect of the contractual liability of a Member for death, injury and loss of or damage to property during an excursion from the entered ship (a) if a separate contract has been entered into by the passenger for the excursion, whether or not with the Member, or (b) if the Member has waived any or all his rights of recourse against any subcontractor or other third party in respect of the excursion.
10 Swedish P&I Regel 3 5 Ansvar för passagerare Ansvar för personskada, sjukdom eller dödsfall som drabbar passagerare ombord på det försäkrade fartyget. Ansvar, kostnader eller utgifter för förlust av, skada på eller andra skyldigheter hänförliga till resgods eller personliga tillhörigheter som passagerare medför ombord på det försäkrade fartyget. Ansvar för skada eller förlust som drabbar passagerare ombord på det försäkrade fartyget och som uppkommit till följd av ett haveri, inklusive ansvar för kostnader att befordra passagerare och deras resgods till bestämmelseorten eller till den hamn där resan anträddes samt att svara för passagerarnas uppehälle. Med haveri avses i denna regel en händelse som omfattar antingen (a) kollision, strandning, explosion, brand eller annan orsak som försätter fartyget i ett sådant skick att det inte på säkert sätt kan framföras till avsedd destination; eller (b) hot mot passagerarnas liv, hälsa eller säkerhet. Ansvar för kostnader att befordra passagerare och deras resgods till bestämmelseorten eller till den hamn där resan anträddes samt att svara för deras uppehälle. Föreningens ansvarighet omfattar även ansvar för skada, sjukdom eller dödsfall under transport till eller från det försäkrade fartyget med dess egna båtar eller, då fartyget är i hamn, även med andra båtar. Oavsett vad som sägs i föregående stycke omfattar Föreningens ansvarighet inte ansvar för personskada, sjukdom, dödsfall, förlust av eller skada på egendom, dröjsmål eller annan indirekt skada som drabbat passagerare i samband med att denne före eller efter befordran med det försäkrade fartyget transporterats med flyg eller befunnit sig i annan fraktförares vård. Föreningens ansvarighet omfattar vidare inte det ansvar för personskada, sjukdom, dödsfall eller förlust av eller skada på egendom som följer av avtal i samband med utflykter från det försäkrade fartyget a) om passageraren själv ingått avtalet med eller utan försäkringstagarens medverkan eller, b) om försäkringstagaren helt eller delvis avstått från rätt till regress gentemot kontraktspart eller tredje man. Change: The Rule is amended to extend cover beyond port areas for passenger liabilities when passengers are transported to or from the vessel on board other boats, bringing the Rule in line with Athens Convention and also other Clubs Rules.
11 English P&I Rule 10 Section 3 Regulations The Association may issue general or particular regulations in writing or by electronic means. The Association may reject any claim or reduce any sum payable in respect of claims arising as a consequence of the Member not complying with such regulations. Swedish P&I Regel 10 3 Föreskrifter Föreningen har rätt att skriftligen utfärda allmänna eller särskilda föreskrifter skriftligen eller elektroniskt. Föreningen kan avvisa eller reducera ersättningsanspråk under denna försäkring hänförligt till ansvar som orsakats av att försäkringstagaren inte följt sådana föreskrifter. Change: The Club shall be entitled to issue regulations also by electronic means to keep up with modern methods of communication.
12 English P&I Rule 10 Section 6 Disclosure and increase of risk The Member shall make full disclosure to the Association before the contract of insurance is concluded of every circumstance which would influence the Association in deciding whether and on what terms to provide cover. The Member shall promptly disclose to the Association every change in circumstance which may increase the insured risk. Where the Member commits any breach of these obligations, the Association may reject any claim against the Association if the Association would not have concluded the contract of insurance had the Association known about the circumstance, or reduce any sum payable to the extent the circumstance has had relevance for the claim. Swedish P&I Regel 10 6 Upplysningsplikt och riskökning Det åligger försäkringstagaren att lämna fullständiga upplysningar till Föreningen före ingåendet av försäkringsavtalet om omständigheter som kan ha betydelse för Föreningen om och på vilka villkor försäkring skall meddelas. Det åligger försäkringstagaren att omedelbart informera Föreningen om ändring av någon omständighet som kan innebära en ökning av den försäkrade risken. Uppfyller försäkringstagaren inte dessa skyldigheter kan Föreningen avvisa krav på ersättning om Föreningen med vetskap om omständigheten ej skulle ingått försäkringsavtalet, eller reducera krav på ersättning i den utsträckning omständigheten har haft betydelse för försäkringsfallet. Change: A new Rule codifying provisions under Swedish law regarding the insured s obligations to provide proper information about the risk which in addition is in line with other Clubs Rules.
13 English P&I Rule 11 Section 2 General exclusions (e) liabilities, costs and expenses arising out of salvage or wreck removal operations conducted by the entered ship unless the liability is covered elsewhere by these Rules or approved by the Association. Swedish P&I Regel 11 2 Uteslutna risker (e) ansvar, kostnader eller utgifter till följd av att det försäkrade fartyget utfört bärgning eller vrakbortagning såvida inte sådant ansvar reglerats särskilt i dessa villkor eller godkänts av Föreningen. Change: A new rule excluding wreck removal operations performed by the entered vessel (in addition to salvage operations) from cover in line with a recent change of the Pooling Agreement.
14 English P&I Rule 11 Section 3 Special exclusions for certain ships The cover afforded by the Association shall exclude liabilities, costs or expenses arising (b) for drilling ships or ships constructed or adapted for the purpose of carrying out drilling operations in connection with oil or gas exploration or production, used for drilling operations core-sampling, oil production or gas production including any accommodation unit moored or positioned on site as an integral part of any such operations, when the liability arises as a result of such operations. The Association shall, however, be liable for storage of oil or gas in ships provided that the Association has given its advance approval of all circumstances and safety precautions which may be of importance for the assessment of the risk, Swedish P&I Regel 11 3 Särskilda risker uteslutna för vissa fartyg Från Föreningens ansvarighet undantages (b) ansvar beträffande borrfartyg som byggts eller anpassats till att utföra eller andra fartyg som används för borrning i samband med exploatering eller, provtagning, produktion av olja eller gas, inkluderande bostadsenhet förtöjd eller placerad på platsen och som utgör en integrerad del av verksamheten.,ansvar som uppkommer av sådan verksamhet. Ansvarighet från Föreningens sida beträffande lagring av olja eller gas i fartyg förutsätter Föreningens uttryckliga och på förhand givna godkännande av alla de omständigheter och säkerhetsåtgärder som är av betydelse för riskens bedömande, Change: Following a recent change of the Pooling Agreement the Rule is amended by excluding drilling vessels from cover altogether (previously the exclusion for this vessel type was activity based).
15 English P&I Rule 12 Security for claims and certificates In no circumstances shall the Association be obliged to provide security to obtain the release of or to prevent the arrest or attachment of the entered ship or of any property or assets of the Member. The Member shall upon demand reimburse to the Association such sum or sums as the Association has paid on behalf of the Member under any bail, guarantee, certificate or security whatsoever provided by the Association to the extent that such payment either is, or, in the opinion of the Association is, in respect of liabilities, costs and expenses not recoverable from the Association. Notwithstanding the exclusions in Rule 11 Sections 5 and 7, the Association will discharge on behalf of the Member liabilities, costs, expenses arising under a demand made pursuant to the issue by the Association on behalf of the Member of (a) a guarantee or other undertaking given by the Association to the Federal Maritime commission under Section 2 of US Public Law , or (b) a certificate issued by the Association in compliance with Article VII of the International Conventions on Civil Liability for Oil Pollution Damage 1969 or 1992 or any amendments thereof, or (c) an undertaking given by the Association to the International Oil Compensation Fund 1992 in connection with the Small Tanker Oil Pollution Indemnification Agreement (STOPIA), or (d) a certificate issued by the Association in compliance with Article 7 of the International Convention on Civil Liability for Bunker Oil Pollution Damage, 2001 (e) a certificate issued by the Association pursuant to Article 12 of the Nairobi International Convention on the Removal of Wrecks, 2007 Provided always that (i) The Member shall indemnify the Association to the extent that any payment under any such guarantee, undertaking or certificate in discharge of the said liabilities, costs and expenses is or would have been recoverable in whole or in part under a standard P&I war risk policy had the Member complied with the terms and conditions thereof, and (ii) the Member agrees that (a) any payment by the Association under any such guarantee, undertaking or certificate in discharge of the said liabilities, costs and expenses shall, to the extent of any amount recovered under any policy of insurance or extension to the cover provided by the Association, be by way of loan; and (b) there shall be assigned to the Association to the extent and on the terms that it determines in its discretion to be practicable all the rights of the Member under any other insurance and against any third party.
16 P&I Regel 12 Certifikat och ställande av säkerhet Föreningen är inte skyldig att ställa säkerhet för att häva eller förhindra kvarstad av försäkringstagarens fartyg, egendom eller tillgångar. Försäkringstagaren skall efter anmodan återbetala till Föreningen sådan ersättning som Föreningen utbetalt för försäkringstagarens räkning under certifikat eller säkerhet som utfärdats av Föreningen i den utsträckning ansvar, kostnader eller utgifter enligt Föreningens uppfattning ej ersätts under dessa villkor. Oavsett vad som sägs i Regel 11, 5 och 7, skall Föreningen fullgöra åtagande under av Föreningen, för försäkringstagarens räkning, utfärdad (a) garanti eller annan utfästelse ställd av Föreningen till Federal Maritime Commission enligt paragraf 2 i US Public Law , eller (b) certifikat utfärdat av Föreningen enligt Artikel VII i 1969 internationella konvention samt 1992 års tilläggsprotokoll om ansvarighet för skada orsakad av förorening genom olja, eller varje ändring härav, eller (c) utfästelse gjord av Föreningen till 1992 års internationella fond för ersättning av skada orsakad av förorening genom olja i samband med Small Tanker Oil Pollution Indemnification Agreement (STOPIA), eller (d) certifikat utfärdat av Föreningen i enlighet med Artikel 7 i 2001 års internationella konvention om ansvarighet för skada orsakad av förorening genom bunkerolja, (e) certifikat utfärdat av Föreningen i enlighet med Artikel 12 i 2007 års internationella Nairobikonvention om avlägsnande av vrak under förutsättning att: (i) försäkringstagaren håller Föreningen skadelös i den utsträckning som utbetalning under sådan garanti, utfästelse eller certifikat helt eller delvis täcks eller skulle ha täckts under en normal P&I-krigsriskförsäkring om försäkringstagaren uppfyllt de villkor som stadgas däri, och (ii) försäkringstagaren samtycker till att: (a) varje utbetalning gjord av Föreningen för att fullgöra ansvar, kostnader eller utgifter under sådan garanti, utfästelse eller certifikat skall utgöra ett lån till försäkringstagaren i den utsträckning ersättning uppburits under någon annan försäkring eller tillägg till P&I-försäkringen; (b) till Föreningen överlåta, i den utsträckning och enligt de villkor som Föreningen bestämmer, alla försäkringstagarens rättigheter under varje annan försäkring och gentemot tredje man. 17 English P&I Rule 22 Premiums and deductibles Premiums and deductibles for the policy year to come are decided annually by the Association. The premium is due for payment in four equal instalments on 20 February, 20 May, 20 August and 20 November. Should the period of insurance commence during the current policy year, a pro rata premium shall be paid at the time when the period of insurance begins, for the period until the next due date. Thereafter the premium shall be paid as stated in the second paragraph. Deductibles for the policy year to come are decided annually by the Association. There shall be one deductible per event unless different type of liabilities are involved in which case each type of liability shall carry one deductible. To speed up the transfer of funds we recommend an electronic payment order. Crossborder payments should always be effected with relevant IBAN, our bank's name, address and SWIFT address (Bank-/BIC-Code) being HANDSESS to ensure an easy and quick settlement. The debit note reference number (i.e. invoice number) should always be stated on the payment order, enabling the Club s accounting department to quickly trace the payment. At renewals and risk attachments, debit notes for the first instalment might not have been received prior to due date. In such cases Members are requested to transfer the outstanding amount prior to receiving the debit note. In case premiums are not received by the Club on the due date, interest calculated at one per cent (1%) per month will be charged from the day after the due date. The interest will be debited per calendar quarters. Should premiums still be outstanding 30 days after the due date, the Club may issue a notice of cancellation to the Member and relevant Mortgagees.
