10 Order, Freight & Claim Order All orders should be send to String will reply within 2 days with an order confirmation. Please secure that the confirmation is in line with your request/order. If you need the order to be marked with name or number please specify this in your order. Dispatch time from String warehouse is 4 weeks, this is also the delivery date on the order confirmation, additional 1-5 days will be needed for final transportation depending on destination. To be able to handle the complaint in an efficient and effective way please add the following information; 1. Batch number/week number on the label placed on the package. We need the full 4-digit number to be able to follow the shipment throughout our complete sourcing chain. 2. Article number of the defect part. 3. If above is not available, please note the order number, available from the order confirmation received from String.

11 4. Please note the type of damage; missing part, transport damage, dagamage to the article och part of article etc. 5. Photo. 6. Delivery note number or invoice number. It is important to notify the driver from the transport company directly at delivery if a transport damage have occurs occur, Without this notification String cannot handle the claim. For transport damage goods String will need a photo both of the damage article as of the packaging. If there are smaller parts missing (i.e. brackets) please inform about customer name and adress, we will send the missing parts directly to the customer from our warehouse. All claims on articles or part o farticles will be handle by us replacing the article/part.

12 Terms and conditions 1. Application of Terms These terms and conditions ( Terms and Conditions ) apply to all quotations, offers, acceptances, sales and deliveries made by String Furniture AB ( String ) and all orders and purchases by String s commercial customer s ( Customer ) regarding the sale by String to Customer of any furniture and/or accessories which String is to supply ( Goods ), unless String has explicitly agreed otherwise in writing. 2. Orders All purchase orders issued by the Customer to String shall include (a) an identification of the Goods being purchased, (b) the quantity ordered (corresponding to the unit per package in the Price List), (c) requested date of delivery and (d) the full name, address and VAT-number of the Customer. All purchase orders issued by the Customer shall be subject to acceptance and confirmation by String. String reserves the right to decline any order in whole or in part for any reason whatsoever. Any request for a change of the order will be charged according to the valid Price List. 3. Prices Unless otherwise agreed in writing, the prices applying to any orders shall be the price valid at the time of dispatch of the Goods. All prices are in SEK unless otherwise stated. The prices quoted are exclusive of any national, state or local sales, use, value-added or other taxes, all of which shall be the responsibility of the Customer. String s Price List may be revised from time to time by String in its sole and absolute discretion. Prices include normal packing unless otherwise stated. If special packing is requested, String has the right to charge extra for such packing. 4. Payment Payment is due as specified by String from time to time. Interest shall be chargeable on any amounts overdue to String from the Customer at the from time to time applicable reference rate set by the Riksbank plus 8% per annum, in accordance with the Swedish Interest Act (1975:635), from the due date for payment until receipt by String of the full amount and without prejudice to any other right or remedy of String. In addition and without prejudice to the foregoing, Customer agrees to fully indemnify String in respect of all and any legal costs and expenses which String may incur arising from or in connection with Customer s failure to pay any sum due pursuant to these Terms and Conditions. All deliveries are subject to credit approval of String. The amount of credit extended to the Customer shall be assessed and determined from time to time by String in its sole and absolute discretion. Following such assessment, String reserves the right to require prepayment or payment by irrevocable letter of credit. In the event of late payment or failure to meet any credit obligations arising under these terms and conditions by the Customer, String may terminate or temporarily suspend performance of its obligations under the Terms and Conditions, including without limitation, the cancellation or delay of delivery of any accepted purchase orders, without any liability. Such right is in addition to any other rights and remedies available under the Terms and Condition or under the law.

13 The Customer shall not be entitled by reason of any set-off, counterclaim, abatement or analogous deduction to withhold payment of any amount due to String, without prior written consent from String. 5. Delivery The goods are delivered ex works Strings warehouse in Malmo ( EXW as defined in Incoterms 2010) at a time decided by String, unless otherwise agreed between the parties in writing. Normally 30 days should be allowed for delivery of the Goods. String may deliver the Goods by separate instalments. All delivery dates are estimates only and the Customer accepts that String is not liable for any late delivery. The Customer shall pick up the Goods as soon as it has been notified of the delivery. String is entitled to charge the Customer for any costs, expenses or fees, including warehousing or transportation costs and fees, due to the Customers failure to pick up the Goods. String carefully inspect, pack and deliver the Goods in good condition. Upon delivery the Customer shall inspect the Goods and note any damages and discrepencies. Customer shall give String written notification of damages, delivery failure or shortfall of delivery within 3 (three) business days of the date when the products would have been received. Failure to notify String of any claims in accordance with the aforementioned shall constitute an irrevocable acceptance of the Goods and a confirmation that the Goods are in compliance with the Terms and Conditions and the specification of the order. 6. Title and Risk Title in the Goods shall, to the extent permitted by law, pass to Customer only upon full payment by the Customer of the purchase price, including any interest and/or applicable expenses, and following payment of any other outstanding debt. Customer shall safely and securely store the Goods and ensure that they are identifiable as Goods obtained from String. Notwithstanding the reservation of title, the risk for the Goods shall pass on to the Customer in accordance with the terms of delivery under these Terms and Conditions. 7. Intellectual property All patents, designs, trademarks, trade names, know-how, copyright and other industrial or intellectual property rights pertaining to the goods ( String Intellectual Property ) belong to String, or is licensed to String, and shall remain Strings, or its licensors, property. The customer shall not in any manner represent that it has any ownership in String s intellectual property. The customer shall not modify, alter or change the Goods or reproduce any images, drawings, plans or specifications of or relating to the Goods without Strings prior consent. Nothing contained in the agreement shall be construed to give the Customer or any third party any proprietary interest in, or rights to String's Intellectual Property, other than explicitly granted under the terms and conditions. 8. Change and/or discontinuation of goods It is Strings policy to develop and improve its products, product range and offering. Accordingly String reserves the right to change the specifications of, or discontinue, any of the Goods without prior notice. String shall not be liable for any changes of the specification or for anmy discontinuation of any goods. 9. Cancellation The Customer may not change or cancel an order without the consent of String to make such changes. String reserves the right to refuse requests for cancellations of orders (total or partial) in cases where the cancellation is received by String more than three (3) working days after the date of receipt of the purchase order or in any case where the purchase order has already been accepted by String or the Goods have already been manufactured.

14 10. Return of Goods Return of Goods shall be made in accordance with String s from time to time applicable Return Policy and all returns are subject to String s consent. If String consents to an unauthorized return of Goods, String is entitled to apply a return and restocking fee of 15% of the price of the Goods. 11. Warranty String s from time to time applicable standard warranty applies to the goods and should always be used by customer towards the end customers. All other warranties, conditions and other terms implied by statute or common law are, to the fullest extent permitted by law, excluded. Customer are not authorised to change, extend or supplement String s warranty. 12. Liability String assumes no liability, whether express or implied, for the Goods' infringement upon present or future patents, trademarks or other intellectual property rights of any third party. In no event shall String be liable to customer for any indirect or consequential damages, including but not limited to loss of profit, revenue or production, interest in investment, loss of goodwill, cost of capital, cost of substitute equipment, facilities or services and downtime cost arising in connection with the performance of any agreement or the sale of the products by string whether or not such damage are based on contract, tort (including negligence or breach of statutory duty), misrepresentation, restitution or otherwise. String s total liability arising in connection with the performance or contemplated performance of any contract shall be limited to ten percent (10 %) of the related contract. 13. Force Majeur String is relieved from liability for a failure to perform any of its obligations due to any circumstance beyond its immediate control, which impedes, delays, or aggravates any obligation to be fulfilled by either party under these Terms and Conditions, such as changes in laws and regulations or in the interpretation thereof, acts of authorities, war, acts of war, labour disputes, blockades, major accidents and currency restrictions. 14. Severability If any provision of these Terms and Conditions is held unenforceable or illegal, such provision shall be modified to the extent necessary to render it enforceable without losing its intent, or severed from the Terms and Conditions if no modification is possible and the remaining provisions of the Terms and Condtions shall remain in full force and effect. 15. Governing Law and Disputes These Terms and Conditions, and contracts made under the Terms and Condition, shall be governed by the substantive laws of Sweden. Any dispute, controversy or claim arising out of, or in connection with, this Agreement, shall be settled by the District Court of Malmo, Sweden.
