3 Telematics Service Information about Collection, Processing and Use of Data You are subscribing to our Telematics Service ( Service ) as defined in the John Deere Telematics Service Contract. This document contains important information regarding how we collect, process and use data, including personal data in connection with the Service. 1. Data controller As a part of the Service, Deere & Company, located at One John Deere Place, Moline, IL ( John Deere or we ) as a data controller analyzes the use of your machine and provides you with individual performance reports. 2. Data collection, processing and use During and after the operation of your machine, we collect, process and use the following categories of data (together: Performance Data ): (1) - Operational status data, including, but not limited to, machine fuel level and machine speed, - Productivity and performance data, including, but not limited to, machine hours and machine idle time, machine diagnostics, remote servicing and machine component software updates etc. - GPS location and movement data, including, but not limited to, proximity to landmarks and virtual boundaries. The Performance Data are automatically transferred to a data processing centre operated by John Deere in the United States of America via a cellular network. Access to the cellular network is provided by a third-party mobile network operator licensed in Germany. Access to the cellular network is accomplished by a radio module (SIM-Card) built into the hardware-box in your machine. The data centre consolidates and analyzes the Performance Data and creates reports, related to parameters such as fuel consumption, operational status, usage/non-usage, usage efficiency etc. ( Performance Reports ). You can access the Performance Reports on our Internet site at: The provision of internet access is not part of the Service. 3. Purposes of data collection, processing and use Based on your consent provided below, we collect, process and use the Performance Data and the Performance Reports for the purposes of providing you with the Service, (1) Poland: This may include personal data within the meaning of the Data Protection Law (Journal of Laws 2002 no 101, item 926). Slovakia: The provision of your data, Performance Data and Performance Reports occurs on a voluntary basis. Our collection, processing and use of this data will be based on this document and your consents granted herein. Italy: The data may be processed through electronic and also non electronic (paper) means as below specified under logics and procedures defined according to the purposes sought and in compliance with the Privacy Code, including security issues.

4 optimizing our products and services, and providing you with promotional material regarding our products and services. 4. Data transfers to third parties We may transfer your Performance Data and Performance Reports to one or more John Deere dealers and to third-party service providers engaged by us in connection with the Service, including but not limited to mobile network operators (together: Third Parties ). You may request from your dealer a list of Third Parties who have access to your Performance Data and Performance reports. Third Parties will process and use your Performance Data and Performance Reports for the same purposes as we do (see Sec. 3). You may remove access by John Deere dealers to your Performance Data and Performance reports at Parties are contractually bound by us to protecting the confidentiality and the security of your Performance Data and Performance Reports and to adhering to applicable data protection laws. 5. Customer contact and customer s data protection rights (2) If you have any questions or queries regarding the collection, processing and use of your Performance Data and Performance Reports, please contact your local dealer. You may exercise your statutory data protection rights and seek other legal remedies, including inter alia the right to access any data we hold about you, including the Performance Data and Performance Reports, to have them updated, amended, corrected, blocked or removed. (3) You may at any time object to their further processing by revoking your consent. We will maintain physical, technical and organizational measures to protect your data against accidental, unauthorized or unlawful access, copying, use, processing, disclosure, alteration, transfer, loss or destruction. We will retain your Performance Data and Performance Reports for at least one (1) year, or one year after the end of the contract at the longest. (2) (3) Romania: According to the provisions of the Romanian Data Protection Law no. 677/2001 you are hereby informed that you have the following rights in connection to the processing of your data: (i) to be informed about the processing of your data; (ii) to have access to your data; (iii) to be in control over your data; (iv) to object to the processing of your data; (v) to request the erasure of your data; (vi) to not being submitted to an individual decision based on automated processing; (v) to address to the courts of law in case your rights provided by the Romanian Data Protection Law are not observed. Sweden: Once a year and free of charge, you have the right to see all data collected and processed about you. Italy: You are entitled at any time to enforce the rights under Art. 7 of the Privacy Code, including for example to obtain confirmation that data exist or not, verify their content, origin and accuracy, ask for their integration, updating, amendment, deletion, transformation in anonymous form, block for breach of laws, oppose to the processing.

9 JOHN DEERE TELEMATICS SYSTEM CONTRACT By clicking the Accept button, below, you ( Customer ) enter into this John Deere Telematics System Contract (the Contract ) with the entity listed in Table 1, below ( John Deere ), for the location in which your headquarters is located if you are entering into this Contract on behalf of a corporate entity or your place of residence if you are entering into this contract as an individual (the Contract Jurisdiction ). This Contract is effective as of the date you click the Accept button (the Effective Date ). John Deere has developed and markets various telematics systems consisting of telematics hardware, software, and services (the Systems ) and distributes the Systems through John Deere dealers or other designated parties ( Dealers ). This Contract sets forth the terms governing Customer s use of the John Deere Telematics Systems, including access to and usage of the John Deere Telematics Web Service. 1. PARTIES 1.1 parties. This agreement is concluded between Deere & Company represented by ETIC, Strassburgerallee 5, Kaiserslautern (John Deere) and the customer. 2. SUBJECT and SERVICE. 2.1 Subject and Service. The subject of this agreement is the provision of Telecommunication and web services in conjunction with the German Telecommunication Act (Telekommunikationsgesetz TKG) as provided for machine to machine communication devices using the mobile network. The service may be available in other European countries using roaming services with local provider. Coverage and signal intensity may change from location to location and subject to local provider coverage and signal intensity. John Deere does not warrant any particular coverage or signal intensity. The Systems include a proprietary web-based solution (the Web Service ) resident on one or more servers (each a Server ) and a telecommunication service. The Web Service allows Customer to use Customer s computer to view and manage data stored on the Servers that has been obtained from the System Hardware. The Systems also include a two-way terrestrial or satellite-based (if offered in customer s location), mobile data messaging and position location reporting service (the "JDLink Service") that enables the transfer of data from the System Hardware to the John Deere Servers. The terrestrial or satellitebased service will be provided through a telecommunication provider. The Web Service and the JDLink Service shall be collectively referred to as the Service. Customer may not resell or otherwise transfer the Service, or any portion thereof, to any third party without John Deere s consent. The Agreement do not entitle the customer to use the SIM cards provided by John Deere as a provider of telecommunication service himself nor to offer machine to machine communication services to third parties as this requires the conclusion of a separate agreement between the third party and John Deere. In case of resale of pre-installed or used equipment customer shall inform the purchaser of the obligation to conclude a new telecommunication contract with John Deere Telecommunication service. Subject to technical and operational feasibility John Deere will offer to the customer a machine to machine telecommunication service. To this aim John Deere will provide the customer with a SIM card. The SIM card shall be used exclusively for a machine to machine communication as well for data transmission exclusively in connection with a terminal equipment that may be purchased exclusively at Deere s authorized dealers or pre-installed on John Deere machines. 2.3 Use of Web Service. During the Term, Customer will have access to and use of the Web Service. John Deere will assign to Customer user name(s) and password(s) for Customer s use of the Web Service. Customer shall control access to and use of the user name(s) and password(s) by Customer s employees, and Customer shall promptly notify John Deere of any unauthorized use of the user name(s) or password(s). Customer shall not permit access via their user name and/or password by any third parties other than John Deere or an authorized Dealer, or assign or transfer access to the Web Service or use the Web Service except as set forth in this Contract. If Customer desires to provide access to Customer s account to a third party, Customer may create another user name and password for such third party. However, Customer assumes full responsibility for the actions of any such third party with respect to the System. To use the Web Service, Customer shall contract with an Internet Service Provider ( ISP ) and have a computer and connection to the Internet that both meet or exceed any specifications or minimum requirements published by John Deere, if any. Customer shall be solely responsible for the choice of its ISP and for any ISP fees, maintenance support, and other ISP expenses. John Deere shall not have any responsibility for the ISP connection or any Internet communications link between Customer s computer and the Servers. Customer s use of an ISP does not permit John Deere to provide backup for access to the Web Service in the event of a failure of the ISP or Internet, and John Deere shall not have any liability for any interruption or break in the Web Service as a result of downtime or failure of any Internet or ISP connection JDLink Service. To enable Customer to use the JDLink Service on a particular Terminal, the JDLink Service for that Terminal must first be activated. Such activation may be accomplished via John Deere s support website: stellarsupport.deere.com. The activation may be performed by the John Deere authorized dealers acting on behalf of the customer. At the time of activation, the JDLink Service and the associated service rates and/or fees shall commence for each activated Terminal and shall continue in effect for the remainder of the subscription period chosen by the Customer for that

10 Terminal. Upon expiration of a JDLink Service subscription period for a Terminal the JDLink Service for that Terminal will cease unless Customer elects to purchase an additional JDLink Service subscription period at the then current rates. If any terms and conditions are presented to Customer by John Deere at the time of purchase or activation of a JDLink Service subscription period on or after the Effective Date, Customer shall be bound by such terms. In the event of any conflict between such terms and the terms of this Contract, the terms presented to Customer by John Deere at the time of purchase or activation of the JDLink Service subscription period shall apply. As part of the provision of the JDLink Service, each Terminal may be assigned a unique mobile or satellite communication number. Customer acknowledges that Customer has no property right in such number, and John Deere may change or reassign such numbers in John Deere s sole discretion. If Customer elects to receive short message service ( SMS ) alerts to Customer s mobile device as part of the JDLink Service, Customer hereby authorizes John Deere to send SMS messages to Customer. Furthermore, Customer acknowledges that Customer has the option for the Term of this Contract to optin or opt-out of receiving SMS messages Unauthorized Use of the Service. Customer shall not use the Service for any Unauthorized Purpose or in such a manner as to interfere with use by other customers of the System. "Unauthorized Purpose" includes: (i) use with intent to avoid payment of charges due under this Contract, (ii) access to, use of, alteration of, or destruction of the System Data files, programs, procedures, or information related to Customer or any other John Deere customer, (iii) use with the intent to reverse engineer or clone the System, (iv) use for any unlawful, illegal or fraudulent purpose, or (v) Bypass. For purposes of this section, Bypass means, for Systems including satellite communication functionality, (i) any mechanisms, including pricing differentials, intended to divert to any destination other John Deere s satellite communication provider s (the Satellite Provider ) U.S. gateway any inbound Satellite Traffic originating from a Public Switched Telephone Network ( PSTN ) and currently routed to the Satellite Provider s U.S. gateway and then forwarded to Satellite Provider subscribers or (ii) any mechanisms intended to bypass Satellite Provider gateways for routing of calls through the various PSTN, PLMN, PTT or IXC providers or (iii) any other mechanisms which the Satellite Provider determines in its sole judgment constitutes network abuse or otherwise have a potentially damaging effect, including abnormal wear and tear, on the Satellite Provider s communications system or cause or could potentially cause abnormal call service performance or call and/or network congestion. For purposes of this section, Satellite Traffic includes any voice or data call that is originated from the Satellite Provider s authorized product or device including attempted calls to a or number which is destined to terminate or be routed through the Satellite Provider s gateway or any carrier, ISC or IXC on behalf of the Satellite Provider. John Deere may, without liability to John Deere, discontinue the Service to prevent use for an Unauthorized Purpose or in response to an order from any court of competent jurisdiction or governmental authority. Customer shall not be credited any charges for Service interruptions resulting from John Deere s actions under this Section. 3. HARDWARE AND SOFTWARE. 3.1 Hardware and Software. To collect and transfer data from Customer s machine, Customer must have at least one activated John Deere-compatible telematics terminal ( Terminal ). Terminals, together with ancillary equipment such as cables, harnesses, and antenna, shall be referred to herein as the System Hardware. The system hardware shall be purchased separately at authorized dealers.premises. Customer s use of the System Hardware is subject to all terms of this Contract and any other terms presented to Customer at the time of purchase of the System Hardware. The System Hardware may include a removable subscriber identity module card ( SIM Card ). The SIM card remains property of Deere. All rights including the granting of rights to use software installed on the SIM cards remains at John Deere. In case of defaults John Deere will be entitled to replace or modify the SIM card. Customer shall only use the SIM Card as part of the System, for the purpose of utilizing the JDLink Service, and as defined by John Deere. Customer shall notify John Deere immediately if any portion of the System Hardware becomes lost, stolen, unserviceable due to damage, or has been misused in any way. Customer shall include as a condition in any sale, rental, lease or other transfer of the System Hardware by Customer to any third party the requirement that such third party abide by all terms of this Contract. 3.2 Software. Telematics software, modem software, and other software and/or firmware are resident on the System Hardware ("System Software"). The System Software contains proprietary code of John Deere or third parties licensed under the terms of this section and may include third party code separately licensed as specified in any documentation (e.g. a CD) accompanying the System Hardware. During the Term of this Contract, John Deere grants to Customer a non-exclusive, revocable license to use the System Software solely (i) in conjunction with use of the System, and (ii) with System Hardware installed and used on Customer's machines or independent contractors' machines who are contracting with Customer. John Deere further grants Customer the right to transfer its license to use the System Software (the System Software do not include the web service and the telecommunication service) during the useful life of the System Hardware in conjunction with the transfer of its ownership. John Deere may condition its agreement to provide the Service to any transferee upon John Deere s approval of transferee s creditworthiness, the payment by transferee of a re-licensing fee and/or the upgrade of System Hardware at transferee's expense. Customer agrees that John Deere may update the System Software on any of Customer s System Hardware during the Term of this Contract as often as is deemed appropriate by John Deere. 4. DATA Machine Data, Web Service Data, and System Data. Any data that is generated by the use of, collected by, or stored in John Deere machinery and equipment, including the System Hardware and any hardware or devices interfacing with John Deere machinery and equipment, shall be considered "Machine Data". A subset of Machine Data is accessible via the Web Service. This subset of Machine Data and any other data added to the Web Service by Customer shall be collectively referred to as the Web Service Data. Machine Data and Web Service Data shall be collectively referred to as System Data Data Access and Usage by John Deere and Dealers. Subject to authorization by the customer John Deere shall provide access to and use of System Data to the Dealer who sold Customer the System. Customer may authorize or remove

11 access to Dealers via the Web Service. Customer agrees that John Deere and authorized Dealers acting on behalf of John Deere, may access and use System Data notwithstanding any other provisions herein. John Deere and authorized Dealers may use System Data for their business purposes, including, but not limited to,: (a) to provide services to Customer, (b) to check, maintain or repair Customer s Equipment, (c) for John Deere s internal research and product development and improvement audits, (d) to help Customer manage a fleet, (e) to identify new usage types of Equipment, (f) to comply with or enforce legal or contractual requirements, excluding the rejection of Customer s warranty claims, (g) to offer Customer products or services, (h) to comply with a request from Customer, or (i) to disclose the System Data to a third party necessary to accomplish (a) through (h). Customer as provided in the authorization form acknowledges that it has been notified of John Deere s data collection practices and agrees that John Deere may use the System Data as described herein. Customer acknowledges and agrees that the System Data may be transferred out of the country where the System Data is generated to other destinations, including but not limited to the United States of America. Customer warrants that it has obtained the necessary consent from its employees to comply with any applicable privacy laws or contractual agreements with such employees. Customer shall not use the System to track the location of any person unless Customer has first obtained any necessary approvals from such person to permit Customer, John Deere and all authorized Dealers to track such location Data Retention Policy. John Deere will store the Web Service Data for a minimum of one (1) year provided such data storage is in compliance with all applicable federal, state, provincial and local laws and regulations, including, but not limited to, applicable international laws. John Deere shall have the right, but not the obligation, to store the Web Service Data indefinitely, or to delete the Web Service Data at any time upon expiration of the above-stated retention periods provided such data storage is in compliance with all applicable federal, state, and local laws and regulations, including, but not limited to, applicable international laws. Customer acknowledges and agrees that messaging and position Web Service Data deleted from the Server(s) cannot be retrieved or re-created. In addition, the wireless network provider for the JDLink Service may generate call data records ( CDRs ) for billing and invoicing purposes, and the wireless network provider may retain the CDRs for longer than a ninety (90) day period. The last position of each Terminal will be stored on the Terminal. If Customer transfers ownership of a Terminal to another party, Customer will no longer have access to the Web Service Data affiliated with the Terminal. 5. INVOICING AND PAYMENT Payment. Customer agrees to pay all applicable JDLink Service fees and Web Service fees in form of a pre-paid flat fee. Such fees will be paid via the payment method selected by Customer and communicated to John Deere. If Customer fails to make any portion of such payment, a late charge of the lesser of 1.5% per month or the maximum amount permitted by law may be charged to Customer. All reasonable costs and expenses, including but not limited to attorneys' fees, court costs and service charges incurred by John Deere in collecting payment will be an expense of and charge to Customer. John Deere may change payment terms at any time. If Customer becomes delinquent in the payment of any sum due, John Deere shall not be obligated to continue performance under this Contract. All prices and rates affiliated with the Service or System Hardware include sales, use, excise or similar taxes assessed at any time. 6. TERM AND TERMINATION Term. The term of this Contract (the Term ) shall commence upon the Effective Date and shall continue in effect until the expiration of Customer s license term to the Web Service, unless earlier terminated in accordance with the terms of this Section 5. The term of Customer s license to the Web Service shall expire upon the later of i) the one year anniversary of the expiration of the last expiring JDLink Service Terminal subscription of a Terminal in Customer s account or ii) the expiration of the term of Customer s account license to the Web Service, if such a license is offered by John Deere. The term of a JDLink Service Terminal subscription for a Terminal in Customer s account shall be in accordance with the terms presented to Customer when Customer purchased the JDLink Service Terminal subscription from John Deere Termination. The occurrence of a good cause shall constitute a material default and breach of this Contract and shall allow the non-defaulting party to terminate this Contract and/or the applicable JDLink Service Terminal subscription without any notice. A good cause will arise if the customer substantially infringes the obligation specified in this contract. Any further claim for damages shall be based on legal provisions. 7. OTHER TERMS Confidentiality of Contract and Information. The terms of this Contract, including its pricing, are confidential information of John Deere. Any business, operations, or technical information furnished by John Deere which is marked with a confidential or proprietary data legend shall be deemed to be the confidential information of John Deere ( Information ). During the Term and for a period of three (3) years thereafter, Customer shall (a) hold all Information received from John Deere in confidence, (b) use such Information only for the purpose of performance under this Contract, (c) reproduce such Information only to the extent necessary for such purpose, (d) restrict disclosure of such Information to its employees and consultants with a need to know in the course of fulfilling their scope of work, and (e) not disclose such Information to any third party, without prior written approval of John Deere. The restrictions on Customer's use and disclosure of Information shall not apply to any Information which Customer can demonstrate: (i) is wholly and independently developed by Customer without the use of Information of John Deere; (ii) is or has become generally available to the public without breach of this Contract by Customer; (iii) at the time of disclosure, was known to Customer to be free of restriction; (iv) is approved for release by written authorization of John Deere, or (v) is disclosed in response to a valid order of a court or other governmental body in the country in which Customer is located, but only to the extent of and for the purposes of such order; provided, however, that Customer shall first notify John Deere in writing of the order and permit John Deere to seek an appropriate protective order, unless such notification is otherwise prohibited by law. Upon the termination or earlier cancellation of this Contract, Customer shall promptly return to John Deere or destroy (and certify such destruction) all confidential or proprietary information received. If the parties have executed a separate confidentiality

12 agreement for the protection of confidential or proprietary information, the terms and conditions of such agreement shall take precedence over this Section. 7.2 Limitation of Liability and Remedies. John Deere shall be fully liable for any intentional damages or for damages caused by gross negligence. In case of slight negligence John Deere will be fully liable for injury to life or harm to health. If as a result of slight negligence Deere fails to perform its service on time, if it has become impossible to provide the service or if Deere has failed to comply to substantial obligation, liability for any damage to property or pecuniary liability will be limited to foreseeable damage that is tipical for the agreement and the nature of the service but no more than Euro per customer. If the duty to pay damages results from an uniform act ar an event causing uniform damage to multiple users, and this is not based on willful intent, then the duty to pay damages is limited to a maximum total of Euro nothwithstanding the per end user limit above. If the compensation exceeds the maximum amount payable to several parties due to the same event the damages shall be reduced proportionally of the total of all claims to the maximum amount. The parties, furthermore, agree that substantial obligation is considered such obligation whose fulfillment is a prerequisite for the performance of this agreement. Failure to a substantial obligation is considered any infringement that menace the achievement of the purposes of the agreement and upon whose compliance the customer can rely in normal condition and for similar services. The Liability for any other damage shall be excluded. Liabilities pursuant to the German Product Liability Act (Produkthaftungsgesetz) as well as any applicable law remain unaffected Language, Choice of Law and Venue. The contract language shall be English. A courtesy translation may be provided from case to case. In case of doubts in the wording the English version shall prevail. This Contract shall be governed by and construed according to the German laws. All disputes arising under this Contract shall be heard only by a court of competent jurisdiction in Kaiserslautern, and Customer submits to the jurisdiction of such courts for the purpose of litigating such disputes. The rights and obligations of the parties under this Contract shall not be governed by the United Nations Convention on Contracts for the International Sale of Goods ( CISG ) and the parties hereto expressly exclude the applicability of the CISG to this Contract Assignability. Neither this Contract, nor any rights, duties or interest herein, shall be assigned, transferred or sublicensed by Customer without John Deere s prior written consent, not to be unreasonably withheld. Any such action shall be void and shall constitute a material default entitling John Deere to terminate this Contract Severability; Waiver. If any of the provisions of this Contract is determined to be unenforceable, the enforceability of the remaining provisions shall not in any way be affected or impaired, and the parties shall substitute for the affected provision an enforceable provision which approximates the intent and economic effect of the affected provision as closely as possible. The waiver by any party of a breach of any of the provisions of this Contract shall not operate as a waiver of any subsequent breach Notices. All notices must be in writing and shall be deemed given if delivered by registered or certified mail to: ETIC, Strassburgerallee 5, Kaiserslautern Force Majeure. Except for the payment of money, neither party shall be liable to the other for failure or delay in the performance of a required obligation if such failure or delay is caused by acts of God, natural disasters, strikes, acts of terrorism, civil disturbances, compliance with governmental laws or orders, or other events which are beyond the reasonable control of such party, provided that such party gives prompt written notice of such condition and resumes its performance as soon as possible, and provided that the other party may terminate this Contract if such condition continues for a period of ninety (90) days without demonstration by the non-performing party of the ability to resume performance of its obligations within a reasonable period. 7.9 Import and Export Compliance. Customer acknowledges that all System Hardware, System Software, proprietary data, know-how, or other data or information (herein referred to as "Products") obtained from John Deere may be subject to the import and/or export control laws of one or more countries and, accordingly, their import, export and re-export, may be restricted or prohibited. Customer, therefore, agrees not to directly or indirectly import, export, re-export, or cause to be imported, exported or re-exported, any such Products to any destination, entity, or persons prohibited or restricted under any law or regulation, unless it shall have first obtained prior written consent of John Deere and any applicable governmental entity, either in writing or as provided by applicable regulation, as the same may be amended from time to time. Customer agrees that no Products received from John Deere will be directly employed in missile technology, sensitive nuclear, or chemical biological weapons end uses or in any manner transferred to any party for any such end use Entire Contract. This Contract contains the entire understanding, agreement and representations of the parties. This Contract supersedes all prior writings, discussions and understandings concerning the subject matter. Any additional or different terms or conditions proposed by Customer or contained in any purchase order are rejected and shall be of no force and effect unless expressly agreed to in writing by John Deere. Datakontrollant Som en del av tjänsten analyserar, Deere & Company, beläget vid One John Deere Place, Moline, IL ( John Deere eller vi ) i egenskap av datakontrollant användningen av din maskin och förser dig med individuella prestandarapporter. 2. Datainsamling, behandling och användning Under och efter användandet av din maskin, samlar vi in, behandlar och använder följande kategorier av data (sammantaget kallat: "Prestandadata") (1) - Driftstatusdata, inklusive, men inte begränsat till, maskinens bränslenivå och hastighet, - Produktivitets- och prestandadata, inklusive, men inte begränsat till, aktiv och inaktiv tid, maskindiagonstik, fjärrunderhåll och programuppdateringar etc, - GPS-positions- och rörelsedata, inklusive, men inte begränsat till, närhet till milstolpar och virtuella gränser. Prestandadatan överförs automatiskt till ett datacenter som drivs av John Deere i USA via ett mobilnät. Tillträde till mobilnätet tillhandahålls av en tredjeparts mobilnätsoperatör med licens i Tyskland. Tillträde till mobilnätet sker genom en radiomodul (SIM-kort) inbyggd i din maskins hårdvara. Datacentret sammanställer och analyserar prestandadatan och skapar rapporter, avseende parametrar såsom bränsleförbrukning, driftsstatus, användning/ej användning, användningseffektivitet etc. ( Prestandarapporter ). Du kan komma åt prestandarapporterna på vår webbplats: Tillhandahållandet av internetanslutning är inte en del av tjänsten. 3. Syftet med datainsamling, behandling och användning (1) Polen: Detta kan inkludera personuppgifter i den mening som avses i Dataskyddslagen (Journal of Laws 2002 nr 101, punkt 926). Slovakien: Tillhandahållandet av dina data, prestandadata och prestandarapporter sker på frivillig basis. Vår insamling, behandling och användning av denna data kommer baseras på detta dokument och det samtycke du beviljar häri. Italien: Datan behandlas med elektroniska samt icke-elektroniska (papper) medel angivna nedan under logik och förfaranden fastställda enligt de syften som avses och i enlighet med Integritetslagen, inklusive säkerhetsfrågor.

Dataöverföring till tredje parter Vi kan överföra dina prestandadata och prestandarapporter till en eller flera John Deere-återförsäljare och till tredje parter anlitade av oss i samband med tjänsten, inklusive men inte begränsat till mobilnätsoperatörer (sammantaget kallat: "Tredjeparter"). Du kan be din återförsäljare om en lista över tredjeparter som har tillgång till dina prestandadata och prestandarapporter. Tredjeparter kommer att behandla och använda dina prestandadata och prestandarapporter i samma syfte som vi gör (se avsnitt 3). Du kan frånta John Deere-återförsäljare tillgång till dina prestandadata och prestandarapporter på Tredjeparter är kontraktsbundna av oss att skydda sekretessen och säkerheten rörande dina prestandadata och prestandarapporter, och för att följa gällande dataskyddslagar. 5. Kundkontakt och kundens dataskyddsrättigheter (2) Om du har några frågor eller funderingar gällande insamlingen, behandlingen och användningen av dina prestandadata och prestandarapporter, vänligen kontakta din lokala återförsäljare. Du kan utnyttja dina lagstadgade dataskyddsrättigheter och söka andra rättsmedel, inklusive rätten att få tillgång till alla uppgifter vi har om dig, inklusive prestandadata och prestandarapporter, att få dem uppdaterade, ändrade, rättade, blockerade eller borttagna. 19 KONTRAKT FÖR JOHN DEERE TELEMATIKSYSTEM Genom att klicka på knappen "Acceptera" nedan, ingår du ("Kunden") i detta kontrakt för John Deere telematiksystem ("Kontraktet") med entiteten listad i tabell 1 nedan, ("John Deere"), för den plats där ditt huvudkontor är beläget om du ingår detta kontrakt på uppdrag av en företagsenhet, eller din bostad om du ingår detta kontrakt som en individ ("Kontraktets jurisdiktion"). Detta kontrakt träder i kraft från och med det datum du klickar på Accepteraknappen ("Ikraftträdandedagen"). John Deere utvecklar och marknadsför olika telematiksystem bestående av telematisk maskinvara, programvara, och tjänster ("Systemen") och distribuerar systemen genom John Deere-återförsäljare eller andra utsedda parter ("Återförsäljare"). Detta kontrakt anger de villkor som styr kundens användning av John Deere telematiksystem, inklusive tillgång till och användning av webbtjänsten för John Deere telematik. 1. PARTER 1.1 parter. Detta avtal sluts mellan Deere & Company företrädd av ETIC, Strassburgerallee 5, Kaiserslautern (John Deere) och kunden. 2. FÖREMÅL och TJÄNST. 2.1 föremål och tjänst. Syftet med detta avtal är tillhandahållande av telekommunikations- och webbtjänster i överensstämmelse med den tyska telekommunikationslagen (Telekommunikationsgesetz TKG) som anges för maskin till maskin-kommunikationsenheter med hjälp av mobila nätverk. Tjänsten kan vara tillgänglig i andra europeiska länder genom att använda roamingtjänster med lokala leverantörer. Täckning och signalstyrka kan variera från plats till plats med reservation för den lokala leverantörens täckning och signalstyrka. John Deere garanterar inte någon specifik täckning eller signalstyrka. Systemen inkluderar en egen webbaserad lösning ("Webbtjänsten") med säte på en eller flera servrar (varje "Server") och en telekommunikationstjänst. Webbtjänsten låter kunden använda kundens dator för att visa och hantera data lagrade på de servrar som har erhållits från systemmaskinvaran. I systemen ingår också en tvåvägs markbunden eller satellitbaserad (om den erbjuds på kundens plats) rapporteringstjänst för mobil dataöverföring och positionslokalisering ("JDLink-tjänsten") som möjliggör överföring av data från systemmaskinvaran till John Deereservrarna. Den markbundna eller satellitbaserade tjänsten kommer att tillhandahållas genom en telekommunikationsleverantör. Webbtjänsten och JDLink-tjänsten skall kollektivt kallas för tjänsten. Kunden får inte återsälja eller på annat sätt överlåta tjänsten, eller någon del av tjänsten, till en tredjepart utan John Deeres samtycke. Avtalet berättigar inte kunden att använda SIM-kort som tillhandahållits av John Deere för att själv leverera telekommunikationstjänster, och inte heller för att erbjuda maskin till maskin-kommunikationstjänster till tredjeparter då detta kräver ingående av separat avtal mellan den tredjeparten och John Deere. Vid försäljning av förinstallerad eller begagnad utrustning skall kunden informera köparen om skyldigheten att ingå ett nytt telekommunikationskontrakt med John Deere Telekommunikationstjänsten Med reservation för teknisk och operativ genomförbarhet kommer John Deere erbjuda kunden en maskin till maskin-telekommunikationstjänst. I detta ändamål kommer John Deere att ge kunden ett SIM-kort. SIM-kortet ska användas exklusivt för maskin till maskin-kommunikation samt för överföring av data endast i samband med terminalutrustning som kan köpas exklusivt hos Deeres auktoriserade återförsäljare eller förinstallerat på John Deere maskiner. 2.3 Användning av webbtjänsten. Under kontraktstiden, skall kunden få tillgång till och kunna använda webbtjänsten. John Deere kommer att ge kunden ett eller flera användarnamn och lösenord för kundens användning av webbtjänsten. Kunden skall kontrollera tillträdet till och användningen av användarnamn och lösenord av kundens anställda, och kunden skall omgående meddela John Deere om eventuell otillåten användning av användarnamn och lösenord. Kunden skall inte tillåta tillgång via sina användarnamn och/eller lösenord av någon tredjepart annat än John Deere eller auktoriserad återförsäljare, eller tilldela eller överföra tillgång till webbtjänsten eller använda webbtjänsten utöver vad som anges i detta kontrakt. Om kunden önskar ge tillgång till kundens konto till en tredjepart, kan kunden skapa ett annat användarnamn och lösenord för sådan tredjepart. Emellertid tar kunden det fulla ansvaret för åtgärder i systemet av sådan tredjepart. För att använda webbtjänsten skall kunden ingå avtal med en internetleverantör ("ISP") och inneha en dator och uppkoppling till internet som både uppfyller eller överträffar alla specifikationer eller minimumkrav som John Deere publicerat, om några. Kunden skall vara ensamt ansvarig för valet av sin ISP och för ISP-avgifter, support, och andra ISP-kostnader. John Deere skall inte ha något ansvar för ISP-uppkopplingen eller någon kommunikationslänk till internet mellan kundens dator och servrarna. Kundens användning av en ISP tillåter inte John Deere att erbjuda backup för tillträde till webbtjänsten i händelse av ett fel i ISP:n eller internet, och John Deere skall inte ha något ansvar för något avbrott i webbtjänsten som en följd av driftstopp eller fel på någon internetanslutning eller ISP-uppkoppling JDlink-tjänsten För att kunden ska kunna använda JDLink-tjänsten vid en särskild terminal, måste först JDLink-tjänsten för den terminalen aktiveras. Sådan aktivering kan ske via John Deeres supportwebbplats: stellarsupport.deere.com. Aktiveringen kan utföras av John Deeres auktoriserade återförsäljare som agerar på uppdrag av kunden. Vid tidpunkten för aktivering skall JDLink-tjänsten och tillhörande priser och/eller avgifter påbörjas för varje aktiverad terminal och fortsätta att gälla för återstoden av avtalstiden som valts av kunden för den terminalen. Vid utgången av en JDLink-tjänsts avtalstid för en terminal kommer JDlink-tjänsten för den terminalen att upphöra såvida inte kunden väljer att förlänga JDLink-tjänstens avtalstid för de vid den tiden aktuella priserna. Om några villkor och/eller krav presenteras för kunden av John Deere vid köpet eller aktiveringen av en avtalsperiod för en JDLink-tjänst under eller efter ikraftträdandedagen, skall kunden bindas av dessa villkor. I händelse av konflikt mellan sådana villkor och villkoren i detta kontrakt, skall villkoren presenterade för kunden av John Deere vid tidpunkten för köpet eller aktiveringen av avtalsperioden för JDLink-tjänsten gälla. Som en del av tillhandahållandet av JDLink-tjänsten kan varje terminal tilldelas ett unikt nummer för mobil- eller satellitkommunikation. Kunden är medveten om att kunden inte har någon äganderätt av ett sådant nummer, och John Deere kan ändra eller överlåta sådana nummer enligt John Deeres eget godtycke. Om kunden väljer att erhålla SMS-varningar till kundens mobila enhet som en del av JDLinktjänsten, bemyndigar kunden härmed John Deere att skicka SMS-meddelanden till kunden. Vidare är kunden medveten om att kunden har möjlighet till opt-in och opt-out gällande att ta emot dessa SMS-meddelanden under kontraktstiden Otillåten användning av tjänsten Kunden skall inte använda tjänsten i otillåtna syften eller på ett sådant sätt att det ingriper på andra kunders användning av systemet. Otillåtna syften inbegriper: (i) användning med avsikt att undvika betalning av avgifter som skall betalas enligt detta kontrakt, (ii) tillgång till, ändring av, eller förstörelse av systemets datafiler, program, förfaranden, eller information om kunden eller någon 1

20 annan John Deere-kund, (iii) användning med avsikt att dekonstruera eller klona systemet, (iv) användning för något lagstridigt, olagligt eller bedrägligt syfte, eller (v) användning med avsikt att kringgå kontraktet. För tillämpningen av detta avsnitt betyder "Kringgå", för system med satellitkommunikation, (i) alla mekanismer, inklusive prissättningsskillnader, avsedda att vidarekoppla till en annan destination än John Deeres satellitkommunikationleverantörers ("Satellitleverantören") amerikanska gateway, all satellittrafik som kommer från det allmänna telefonnätet ("PSTN") och för närvarande dirigeras till satellitleverantörens amerikanska gateway och sedan vidarebefodras till satellitleverantörens abonnenter eller (ii) alla mekanismer avsedda att kringgå satellitleverantörens gateways för dirigering av samtal genom de olika PTN, PLMN, PTT, eller IXC-leverantörerna eller (iii) andra mekanismer som satellitleverantören bestämmer enligt egen bedömning utgör nätverksmissbruk eller på annat sätt har potentiellt skadliga effekter, inklusive onormalt slitage på satellitleverantörens kommunikationssystem, eller orsakar eller skulle potentiellt kunna leda till onormal prestanda för samtalstjänsten eller överbelastning av nätet. För tillämpningen av detta avsnitt inbegriper "Satellittrafik" alla röst- eller datasamtal som härstammar från satellitleverantörens auktoriserade produkt eller apparatur inklusive uppringningsförsök till ett eller nummer som är destinerat att avbrytas eller dirigeras via satellitleverantörens gateway eller annan transportör. ISC eller IXC på uppdrag av satellitleverantören. John Deere kan, utan skadeståndsansvar för John Deere, avsluta tjänsten för att förhindra användning i otillåtet syfte eller som svar på order från en domstol eller myndighet. Kunden skall inte betala några eventuella avgifter för avbrott av tjänsten till följd av John Deeres åtgärder under detta avsnitt. 3. MASKINVARA OCH PROGRAMVARA 3.1 Maskinvara och programvara. För att samla in och överföra data från kundens maskin, måste kunden ha minst en aktiverad John Deerekompatibel telematikterminal ("Terminal"). Terminaler, tillsammans med tillhörande utrustning som kablar, kabelnät och antenner, skall avses hän som "Systemmaskinvaran". Systemmaskinvaran skall köpas separat hos auktoriserade återförsäljare. Kundens användning av systemmaskinvaran är föremål för samtliga villkor i detta kontrakt och andra villkor som presenteras för kunden vid köpet av systemmaskinvaran. Systemmaskinvaran kan inkludera ett avtagbart SIM-kort ("SIM-kort"). SIM-kortet tillhör fortfarande Deere. Alla rättigheter inklusive beviljandet av rättigheter att använda programvara installerad på SIM-korten tillhör John Deere. Vid försummelse har John Deere rätt att byta ut eller modifiera SIM-kortet. Kunden skall bara använda SIM-kortet som en del av systemet, i syfte att använda JDLink-tjänsten, och enligt John Deere. Kunden skall omedelbart meddela John Deere om någon del av systemmaskinvaran försvinner, stjäls, blir obrukbar på grund av skada, eller missbrukas. Kunden skall inkludera som ett villkor i all försäljning, uthyrning, leasing eller annan överföring av systemmaskinvaran av kunden till tredjepart, kravet att sådan tredjepart följer alla villkor i detta kontrakt. 3.2 Programvara. Telematisk programvara, programvara för modem, och annan programvara och/eller firmware finns på systemmaskinvaran ("Systemprogramvaran"). Systemprogramvaran innehåller proprietär kod från John Deere eller tredjeparter licensierade under villkoren i detta avsnitt och kan inkludera separat licensierad kod från tredjepart som angivet i dokumentation (t.ex. en CD) som medföljer systemmaskinvaran. Under denna kontraktstid beviljar John Deere kunden en icke-exklusiv, återkallelig licens för att använda systemprogramvaran endast (i) i samband med användningen av systemet, och (ii) med systemmaskinvara installerad och använd på kundens maskiner eller oberoende entreprenörers maskiner som skriver kontrakt med kunden. John Deere beviljar vidare kunden rättigheten att överföra sin licens för att använda systemprogramvaran (Systemprogramvaran omfattar inte webbtjänsten och telekommunikationstjänsten) under nyttjandeperioden av systemmaskinvaran i samband med överföringen av sitt ägande. John Deere kan påverka dess avtal att tillhandahålla tjänsten till en förvärvare efter John Deeres godkännande av förvärvarens kreditvärdighet, där förvärvarens betalning av en ny licensavgift och/eller uppgradering av systemmaskinvaran går på förvärvarens bekostnad. Kunden godkänner att John Deere kan uppdatera systemprogramvaran på alla kundens systemmaskinvaror under kontraktstiden så ofta som bedöms lämpligt av John Deere. 4. DATA Maskindata, webbtjänstdata och systemdata. All data som genereras vid användning av, insamlas av, eller lagras i John Deeres maskiner och utrustning, inklusive systemmaskinvaran och all maskinvara eller alla enheter som samverkar med John Deeres maskiner och utrustning, skall betraktas som "Maskindata". En delmängd av maskindatan är tillgänglig via webbtjänsten. Denna delmängd av maskindatan och all annan data som läggs till webbtjänsten av kunden skall kollektivt kallas "Webbtjänstdata". Maskindata och webbtjänstdata skall kollektivt kallas "Systemdata" Datatillgång och användning av John Deere och återförsäljare. Med reservation för auktorisering från kunden ska John Deere förse återförsäljaren som sålde systemet till kunden med tillgång till och användning av systemdata. Kunden kan godkänna eller frånta återförsäljaren tillgång till systemdatan via webbtjänsten. Kunden godkänner att John Deere och auktoriserade återförsäljare som agerar på uppdrag av John Deere, får tillgå och använda systemdata oaktat andra bestämmelser häri. John Deere och auktoriserade återförsäljare får använda systemdatan i deras verksamhet, inklusive, men inte begränsat till (a) att tillhandahålla tjänster till kunden, (b) att kontrollera, underhålla eller reparera kundens utrustning, (c) för John Deeres interna forskning och produktutveckling, och förbättrade revisioner, (d) för att hjälpa kunden med Fleet Management, (e) att identifiera nya användningsområden för utrustningen, (f) att följa eller genomdriva legala eller kontraktsmässiga krav, med undantag för förkastandet av kundens garantianspråk, (g) att erbjuda kunden produkter eller tjänster, (h) att efterfölja en förfrågan från kunden, eller (i) att lämna ut systemdata till en tredjepart för att kunna utföra (a) genom (h). Kunden, som angivet i fullmaktsformuläret, medger att kunden har notifierats om John Deeres metoder för datainsamling och godkänner att John Deere kan använda systemdatan som beskrivet häri. Kunden är medveten om och godkänner att systemdatan kan komma att överföras från det land där systemdatan genereras till andra destinationer, inklusive men inte begränsat till USA. Kunden garanterar att kunden har erhållit nödvändiga medgivanden från kundens anställda för att uppfylla alla tillämpliga integritetslagar eller avtal med dessa anställda. Kunden skall inte använda systemet för att spåra en persons lokalisering, såvida inte kunden först erhållit de nödvändiga medgivanden från personen ifråga som tillåter kunden, John Deere och alla auktoriserade återförsäljare att spåra sådan plats Policy för lagring av uppgifter. John Deere kommer lagra webbtjänstdatan i minst ett (1) år under förutsättning att sådan datalagring sker i enlighet med alla tillämpliga federala, statliga, regionala och lokala lagar och regler, inklusive, men inte begränsat till, tillämpliga internationella lagar. John Deere har rätt, men inte skyldighet, att lagra webbtjänstdatan under obegränsad tid, eller att radera webbtjänstdatan när som helst efter utgången av ovan nämnda lagringsperioder under förutsättning att sådan datalagring sker i enlighet med alla tillämpliga federala, statliga, regionala och lokala lagar och regler, inklusive, men inte begränsat till, tillämpliga internationella lagar. Kunden är medveten om och godkänner att webbtjänstdata gällande meddelanden och position som raderats från servern/servrarna inte kan hämtas eller återskapas. Dessutom kan leverantören av trådlöst nätverk till JDLink-tjänsten generera trafikdata ("CDRs") i faktureringssyfte, och leverantören av trådlöst nätverk får behålla trafikdatan längre än en nittio (90) dagars period. Den sista positionen i varje terminal kommer lagras på terminalen. Om kunden överlåter äganderätten av en terminal till en annan part, kommer kunden inte längre ha tillgång till webbtjänstdatan anknuten till terminalen. 5. FAKTURERING OCH BETALNING Betalning. Kunden förbinder sig att betala alla tillämpliga avgifter för JDLink-tjänsten och webbtjänsten i form av en förbetald fast avgift. Sådana avgifter kommer betalas till John Deere genom betalningsmetod vald av kunden. Om kunden misslyckas med någon del av betalningen 2
